Nada's share of value is subject to an annualized return cap of 18.0% (compounded monthly after year 1).

Valuations

The total amount you receive represents the gross investment proceeds. Transaction expenses, an origination fee of 3% and an underwriting fee of 1% will be deducted at closing. Transaction expenses include processing, appraisal, title, credit and escrow fees paid to third parties and may vary depending on property specific factors.

The Manager intends to offer investors liquidity events through a redemption program. Please review the Offering Memorandum for full details and associated disclosures.

Liquidity

Guaranteed base 8.0% APY for investments $100,000 or greater. Guaranteed base 7.25% APY for investments between $25,000-$99,999. Guaranteed base 7.0% APY for investments between $5,000-$24,999. Annual Percentage Yield (APY) is the gross percentage of income you will earn on your investment into Cityfunds Yield over one year. APY is net of management fees, operating expenses, organization and offering expenses, and origination, and other fees as further described in the Private Placement Memorandum. Income earned will be distributed to investors on a quarterly basis. 

Average price per share is the average cost of each share you've purchased your investment. It's calculated by dividing the total amount of your contributions by the number of shares you own.

Number of shares represents the total quantity of shares you own in a particular fund. The more shares you have, the greater your stake in the investment's overall returns and value.

The duration you plan to keep the investment before selling it.

Hold Period

The Manager intends to offer investors liquidity events, through a redemption program, beginning in 2024. In addition, the Manager expects that the Public Private Execution Network Alternative Trading System, or PPEX ATS (the “Secondary Trading Platform”), which is registered with the SEC and operated by North Capital Private Securities Corporation (“North Capital”), will be a venue available for the resale of such Shares through Dalmore, as a broker-dealer member of the Secondary Trading Platform. The Current Value represents the latest value reported of a Homeshare or a rental property.

Term is based on the target hold period of underlying investments made by Cityfunds, the Fund has a target term of 5 years. However some portion of the Fund may remain outstanding for a period longer than the target term and may be extended at the discretion of the manager. The Manager will be paid a quarterly asset management fee equal to 0.5% (2% annually) of the value of the interests of each series, payable quarterly in arrears.
